Terms and Conditions

The below-mentioned terms of delivery are valid for all deliveries from Palet unless they are modified upon written agreement between the two parties involved.

Quotations / agreement

Unless otherwise stated, any offer or quotation by Palet is subject to contract.  

An agreement shall take effect once an offer accepted by Buyer has been confirmed by Palet in writing.  

Orders for goods made to order cannot be canceled nor returned. Unless agreed otherwise all other orders may be canceled or changed within 2 (two) working days following the order confirmation by Palet. 

Any other change or cancellation of an order is subject to Palet’s written approval and is subject to conditions by Palet.  

If the price, discounts, or dates of delivery are based on an apparent error, Palet may correct the mistakes or cancel the order. All agreements shall at all times be subject to credit approval by Palet. The aforementioned does not prevent Palet from requiring at any time security for compliance with Buyer’s financial obligations.  

Price and payment

All quoted prices by Palet are in Euro. All prices are exclusive VAT and other government duties or taxes, as well as any costs incurred in the context of the agreement, such as administrative, transport and COD charges. These taxes and costs will be added to the sales price and form a part of the agreed invoiced amount due by Buyer.  

Price adjustment by Palet is allowed when the cost for any reason whatsoever proves to be higher for Palet than the price quoted, or is higher than foreseen by Palet at the time at which the agreement was reached.  

If a discount is agreed for the purchase of a certain quantity or range in an order, Palet is not obliged to apply the discount if fewer or different goods than those agreed are actually ordered. 

Unless expressly agreed otherwise, all orders are accepted based on pre-payment.  

Palet reserves the right to demand full or partial advance payment. Delivered goods remain the property of Palet until the full purchase price including delivery charges as well as interests payable on arrears is fully paid. 

Conditions of payment are stated on the invoice and are as below:

Any invoice must have been paid on Palet’s bank account no later than 14 (fourteen) calendar days upon invoice date. 

If the invoiced amount is not paid within the payment term, then the Buyer is in default without any notice being required. In addition to any other rights and remedies Palet may have under applicable law, interest will accrue on all late payments at the rate of 1% (one percent) per calendar month or part of the month or the applicable statutory rate, whichever is higher.  

In the event that collection is necessary all collection costs are payable by Buyer. If the debt collection involves court proceedings, then all legal costs, including legal advice and representation in court and out of court, as well as all execution costs, shall be for the Buyer’s account.  

Even if the Buyer is of the opinion that the quality of the delivered goods or services is not in accordance with the agreed goods or services, this does not release him from the obligation to pay.

If fewer goods are delivered, or received in good condition, than invoiced, and Buyer objects in good time, Buyer remains liable for the amount invoiced in respect of the goods received in undamaged condition. In the event of any default by Buyer in the payment of any amounts or charges due, Palet has the right to postpone any further deliveries of any goods, without being liable for any losses by Buyer. Such right shall be in addition to, and not in lieu of, any other rights and remedies available under the agreement or at law.  

Set-off by Buyer of a claim (or alleged claim) against its debt to Palet will not be permitted otherwise than with Palet’s express written consent. 

Delivery schedules

Delivery for standard items (excluding made to order) is normally within 2-4 weeks from order receipt to shipment from the Palet warehouse. Should Palet learn that it is not possible to deliver the goods within the agreed period; the customer will be informed of the delay as soon as possible and informed of the new delivery date. If the delay exceeds 3 months and is not due to force majeure, the customer is entitled to cancel the order. The customer is not entitled to make further claims to Palet in cases of e.g. delay. Palet cannot be held accountable for delivery problems in cases of force majeure. In these situations, delivery schedules will be prolonged.

Delivery

Deliveries will ship from the Palet warehouse. The customer is obligated to check the packaging upon receipt of the goods and check that the number of packages corresponds to the delivery note. When distinctly agreed that Palet is responsible for delivery the following is applicable: If goods and/or packaging are damaged upon receipt the responsibility to accept the order with reservation and to make a remark of this on the delivery note lies upon the recipient. Any damage incurred during transport must be reported directly to the haulage contractor and Palet no later than 48 hours after receipt.

Customs and import duties

Palet can not be held responsible for delays by customs or local postal services. All overseas orders may be subject to import fees, duties, and taxes, which are charged once the parcel reaches its destination country. These charges must be paid by the recipient of the parcel. Unfortunately, Palet has no control over these charges, and cannot tell you what the cost would be, as customs policies and import duties vary widely from country to country. All orders are shipped DDU (delivered duty unpaid). Contact your local customs office for current charges before placing an order, to avoid being surprised by unexpected charges.

Tolerances

Samples can only be considered as a guide. Palet cannot be held responsible for any differences between the sample and the delivered goods, as color changes occur naturally over a period of time. Variances are not considered to be defects. Wear and tear due to normal everyday use are not considered to be defects.

Complaints

Any complaints must be filed in writing no later than 14 days after receipt of the goods in question. Any complaints received later than this date cannot be considered. Palet has the right and duty to repair or replace the product or part thereof in question. If Palet is unable to find a solution within a reasonable time, the customer can make a written reduction demand. No further demands can be made to Palet as a result of defects.

Return of goods

Any goods to be returned can only be returned according to prior agreement. Returns are at cost of the Buyer, returns must be in their original condition and packaging to be accepted.

Product liability

Palet can only be held responsible for any material damage caused by its products if it can be proved that such damage is due to error or negligence on the part of Palet or of its employees. Palet can in no way be held responsible for operational losses, loss of earnings, or other financial consequences arising from such damage.

Disputes

Any and all disputes regarding this contract are to be resolved under Dutch law. All legal proceedings are to take place at the local court of either Palet or the customer, as decided by Palet.

Palet is not responsible for any printing errors and price changes. Palet reserves the right to make changes or to discontinue the manufacture of any model without prior notice.
